You may have searched online to discover how to properly draft a General Power of Attorney authorising an individual to perform various actions on your behalf in the UAE. It is essential to appreciate the legal weight of this instrument and to ensure that its preparation and execution fully comply with your objectives as well as the expectations of government entities and third parties who will review or rely on it. A document that falls short of these standards risks being deemed ineffective or rejected when submitted for use.
This section presents the five (5) most important recommendations to consider when arranging a General POA in Dubai or any other Emirate in the UAE.
1. Avoid Preparing the General Power of Attorney Through a Typing Centre
It is well known that typing centres and certain law firms in the UAE routinely produce powers of attorney for clients across Dubai, Abu Dhabi, and the remaining Emirates. Typing centres commonly apply uniform, pre-formatted templates to all matters. Because of their inflexible phrasing, such templates frequently result in documents that inadequately address a client’s particular circumstances. These centres typically insert only identification particulars (e.g., passport or Emirates ID details) and generate sign-ready versions. Potential drawbacks include: (i) incorporation of unintended or surplus powers into your General POA; (ii) exclusion of necessary authorities; or (iii) excessively wide-ranging powers that the appointed attorney could exploit.
To mitigate these risks, commissioning a law firm is strongly recommended. Specialist firms guarantee that the document incorporates precisely the broad authorities you require, omits irrelevant elements, and satisfies acceptance criteria from pertinent authorities and departments. Legal Inz is dedicated to developing General POAs that precisely fulfil your needs and external compliance obligations. We have simplified the procedure, enabling you to select and order your General POA conveniently online in a matter of minutes.
2. Use the Correct Document (i.e., General POA or Special POA)
Two main forms of powers of attorney exist in the United Arab Emirates: general and special. It is imperative to comprehend their differences and select the suitable variant.
A General POA provides extensive authority for overseeing a wide array of legal, commercial, and administrative activities. It is often appropriate for tasks such as acquiring real estate, forming companies, or acting as your representative in interactions with official bodies. That said, it is typically unsuitable for disposals, including the sale of real estate, vehicles, or corporate shares in the UAE.
In general, elect a special POA when authorising restricted or transaction-focused powers (for example, about the disposal of property, vehicles, or shares). Should any uncertainty arise, defaulting to a special POA represents the more prudent option compared to a general one. Interested in the fees for a special power of attorney in Dubai? 3. Choose Your Attorney Wisely
Given that this legal instrument confers substantial decision-making capacity, permitting another party to act in your place, the selection of your representative, designated as the ‘attorney’ within the General POA, demands thorough consideration. Designate an individual in whom you have complete confidence and who demonstrates solid familiarity with UAE customs and routine practices. It is equally important to avoid arrangements where the delegated powers might be applied improperly, resulting in undesirable consequences.
4. Have the Arabic Translation Done
UAE law mandates that your General POA undergo translation into Arabic by a certified legal translator recognised by the Ministry of Justice. Execution before a notary public may occur in Arabic exclusively or in a bilingual (English-Arabic) edition. Non-Arabic speakers are advised to request the bilingual option to ensure complete comprehension of the English version before translation and signature at the notary public.
5. Sign/Notarize the General POA With a Notary Public
After translation, the approved legal translator prints and stamps three original copies. You must then sign it before a notary public. The process varies by your location and needs.
For In-Person Notarization: Sign the document before a notary public in Dubai, Abu Dhabi, or any other Emirate. The notary registers it immediately and provides you with two original copies – one for your attorney and one for yourself. Note that Dubai Courts issue General POAs electronically only (no physical copies), while the Abu Dhabi Judicial Department may issue physical copies depending on the case.
For E-Notarization: If you are outside the UAE or unable to visit physically, e-notarization is available via video conference with the notary public officer. You simply verify your identity using your valid passport and confirm the powers being assigned. The e-notarized General POA is then issued electronically to your email.
Legalization/Attestation: This is required only if the General POA will be used outside the UAE or was prepared overseas for UAE use. Attestation involves certifications from the Ministry of Foreign Affairs, the UAE embassies, and the Ministry of Justice. We recommend using a specialized attestation service for this process.
